808 - Adv Legal Writing: Contract Drafting
Hit the ground running in transactional law by learning the practical skill of transactional drafting. This class is a highly interactive, experiential course designed to hone the real-world skills you'll need as a practicing attorney. Most attorneys work with contracts at some point in their career and understanding how contracts are negotiated and drafted is a critical skill for both transactional attorneys and commercial litigators. Learn to address and resolve challenges in business transactions by drafting precise and clear contractual provisions. Get your hands dirty with contract drafting problems and in-class negotiation practice. You'll also learn to recognize and understand common contractual provisions, structure an effective agreement, detect potential landmines, and gain an appreciation for the functions and nuances of contract language. In most classes, we’ll review student-written contracts, learn drafting guidelines for contract provisions, then do an in-class negotiation. By the end of the semester, you will have drafted two contracts, redlined two contracts, and commented on four contracts. You will also get extensive feedback from classmates and the professor.
