General Course Descriptions for Terms: contract drafting

808 - Adv Legal Writing: Contract Drafting

Hit the ground running in transactional law by learning the practical art of transactional drafting. This class is a highly interactive, practice-focused course designed to hone the real world skills you'll need as a practicing attorney. Most attorneys work with contracts at some point in their career and understanding how contracts are negotiated and drafted is a critical skill for both transactional attorneys and commercial litigators. Learn to address and resolve challenges in business transactions by drafting precise and clear contractual provisions. Get your hands dirty with contract drafting problems, boilerplate, and in-class negotiation practice. You'll also learn to recognize and understand common contractual provisions, structure an effective and elegant agreement, detect potential landmines, and gain an appreciation for the functions and nuances of contract language.

940 - Contract Theory & Design

Contract Theory and Design This course takes an engineering approach to contracting. It aims to bridge the gap between economic contract theory, contract law scholarship and the drafting of real-world contracts. We will develop heuristic tools on how to design contracts, and to this end you will learn key concepts from economic and behavioral contract theory. We will also analyze and mark up real-world contracts to understand where they succeed and where they fail. This is not a contract drafting class. The focus is on the incentive structures around contracts rather than the legal language of the contract itself.
