Course Page for Spring 2026 Regular - Ohnesorge, John
Law of agency, partnership, limited liability companies, and closely held corporations.
Begins with law of principal-agent relationships, the most basic business form, then surveys model statutes and state laws governing the formation and operation of closely-held business associations including general partnerships, limited partnerships, limited liability partnerships (LLPs), limited liability companies (LLCs), and closely-held corporations. The course deals with choice of business entity, forming and financing business enterprises, and economic and control rights within such enterprises. This course is strongly recommended for all law students, not only those who plan to practice business law.
